Fuel Distribution M&A Update – November 2026
Fuel Distribution M&A Remains Active as Consolidation Trends and Platform Investment Reshape the Sector
The Fuel Distribution sector’s stable demand, recurring revenue streams, and resilient cash flow profiles have sustained buyer interest despite macroeconomic uncertainty and have continued to support merger and acquisition (M&A) activity in 2026. Strategic acquirers have remained focused on expanding geographic coverage and route density, while financial sponsors have pursued acquisition-driven growth strategies within a highly fragmented market. While overall deal activity has softened from elevated 2025 levels, M&A across Fuel Distribution subsectors has remained active, underscoring the sector’s continued appeal to both strategic and sponsor-backed investors.
Fuel distribution continues to present a compelling investment opportunity as buyers increasingly view fuel distribution as critical infrastructure with supportive long-term tailwinds. We expect high-quality businesses with recurring customer relationships, defensible market positions, and clear avenues for add-on growth to continue attracting strong interest from both strategic acquirers and private equity.
Commodity Stability and Workforce Constraints Shape Competitive Dynamics
Improving Fuel market fundamentals and ongoing labor shortages have emerged as key drivers of strategic decision-making and M&A activity across the Fuel Distribution sector. Following several years of commodity price volatility, distributors have benefited from more stable supply conditions and greater forecasting visibility. Notably, U.S. propane inventories exceeded 100 million barrels heading into the 2025/2026 winter heating season, standing ~13 million barrels above the prior five-year average as of September 26, 2025, according to the U.S. Energy Information Administration (EIA).1 This stability has supported earnings predictability, reduced inventory-related uncertainty, and improved the reliability of underwriting assumptions for prospective acquirers. These dynamics have retained strategic buyers and financial sponsors as active and willing acquirers, with greater confidence in future cash flow generation has supported transaction activity across Propane, Heating Oil, and Refined Fuel distribution markets.
Labor availability has become an increasingly important operating consideration for fuel distributors, reinforcing the value of scale and driving both technology investment and M&A. Persistent shortages of Commercial Driver’s License (CDL) drivers, technicians, and skilled service personnel have continued to pressure route-based operators. Truck transportation remains a critical component of the U.S. economy, accounting for 72.7% of domestic freight volumes by weight and supporting ~3.6 million employed drivers in 2024, according to the American Trucking Associations (ATA).2 Despite the size of the workforce, the industry remains constrained by an estimated shortage of 60,000 to 82,000 drivers, with the ATA projecting the gap could widen to as many as 160,000 drivers from 2025-2028. These workforce challenges have increased labor costs and intensified competition for qualified personnel, particularly within propane and fuel distribution businesses where delivery reliability and customer service remain critical differentiators.
Distributors have increasingly pursued initiatives that improve operating efficiency and workforce productivity. Organizations such as the National Propane Gas Association (NPGA) and the Propane Education & Research Council (PERC) have expanded workforce development efforts, while operators have invested in remote tank monitoring, automated routing, and customer management platforms to reduce labor intensity. Larger distributors have also utilized acquisitions to increase route density, optimize dispatch networks, and improve staffing efficiency, further reinforcing the advantages of scale. Of note, Vista Equity Partners-backed Acumatica acquired Vertrax, a software provider serving propane distributors, fuel marketers, lubricants businesses, and convenience retailers in July 2026 (undisclosed). The deal highlights the growing importance of technology-enabled operating models as fuel distributors seek to address labor constraints and enhance operational scalability. Workforce availability has remained a key sector challenge, with scale, operational efficiency, and technology adoption expected to continue supporting consolidation activity across the sector.
Fuel Distribution M&A Activity Moderates, Strategic Buyers Drive Consolidation
Fuel Distribution sector deal activity has slid 27.4% year-over-year (YOY) through September 17 to 61 announced or completed transactions. While transaction volume has trended lower in recent years, strategic buyers and sponsor-backed platforms have remained active across propane and lubricants distribution, home heating fuels, commercial fuel services, and bulk fuel logistics. Additionally, disclosed Fuel Distribution sector transactions have averaged 8.3x EV/EBITDA from 2025 through year-to-date (YTD) 2026, reflecting sustained buyer demand for scaled operators with attractive geographic density, established infrastructure, and strong market positions. This has aligned with the 8.3x EV/EBITDA average recorded across disclosed transactions completed during 2023-2024.
Strategic buyers have remained the dominant acquirer group in the Fuel Distribution M&A market, representing 83.6% (51 transactions) of total deal activity YTD compared to 79.8% (67 transactions) in YTD 2025. While strategic deal volume has declined YOY alongside broader market activity, its share of total transactions has increased nearly four percentage points, highlighting the relative resilience of strategic acquirers amid a softer M&A environment. Private buyers have accounted for the majority (67.2%) of strategic activity, recording 41 transactions. This increased concentration has suggested strategic acquirers remain active in pursuing acquisitions to enhance capabilities, expand product offerings, and strengthen competitive positioning, even as overall transaction activity has moderated. However, public strategic activity has declined, totaling 10 transactions to date versus 19 in YTD 2025, as public sector participants have remained selective and focused on larger opportunities capable of providing meaningful geographic expansion, route density improvements, and infrastructure scale. Overall, strategic demand has endured, supported by the desire to increase market share, optimize distribution networks, and leverage operating efficiencies across increasingly complex fuel and energy distribution platforms.
Private equity (PE) activity also moderated, declining to 10 transactions in YTD 2026 from 17 in YTD 2025. Add-on acquisitions have accounted for eight of the 10 sponsor-led transactions during the period, highlighting the ongoing emphasis on scaling existing platforms. Sponsor interest has remained concentrated around businesses that offer dense distribution footprints, recurring customer demand, and opportunities for operational improvement through route optimization, procurement efficiencies, and technology adoption.
Active Consolidators Expand Scale Across the Fuel Distribution M&A Landscape
Fuel distribution M&A activity has been driven by a concentrated group of active acquirers, including Blossman Gas, Energy Distribution Partners (EDP), Reliable Energy Partners (REP), and Sunoco (NYSE:SUN), among others. Each of these companies has completed multiple acquisitions over the last two years in pursuit of greater geographic density, route optimization, and operating scale. The success of these consolidators has validated a growth playbook that has become increasingly prevalent across fuel distribution M&A. Many sponsors have acquired founder-owned distributors, executed disciplined tuck-in acquisitions, and built scaled regional or national operators that have ultimately become attractive acquisition candidates for larger strategic buyers. Court Square Capital’s investment in Offen Petroleum represents one of the clearest examples of this model. Following its acquisition of Offen in June 2019 (undisclosed), Court Square supported six add-on engagements that expanded the company’s geographic footprint, strengthened its distribution capabilities, and broadened its product offerings. These investments transformed Offen into one of the largest independent wholesale distributors of fuels, lubricants, propane, and transportation services in the U.S. before its sale to Sunoco for $600 million in August 2026. The transaction demonstrates how a disciplined consolidation strategy can create meaningful value for financial sponsors while also providing strategic buyers with a scaled platform that would be difficult and time consuming to replicate organically.
Recent activity from Soundcore Capital Partners-backed REP has illustrated the buy-and-build strategy in practice. Launched in November 2025 as a dedicated propane distribution platform, REP has rapidly expanded through acquisitions including Irvington Gas (February 2026), Economy Propane (December 2025), Gateway Propane (November 2025), and Nashville Propane Exchange (November 2025), extending its footprint across multiple regions and increasing operational density and scale. Terms of the deals were not disclosed. Similarly, Pritzker Private Capital-backed EDP has executed a long-standing M&A strategy centered on acquiring locally managed propane distributors and integrating them into a scaled national platform, most recently expanding through its acquisition of Hocon Gas in February 2026 (undisclosed). These transactions have reflected sponsor conviction in the sector’s ability to support roll-up strategies that create larger, more efficient fuel distribution platforms.
Pockets in the Fuel Distribution Sector Create Consolidation Opportunities
Two key Fuel Distribution subsectors—Residential Energy Distribution and Commercial Bulk Fuel Distribution—have followed distinct strategic and acquisition trends. Acquisition activity in Residential Energy Distribution has primarily centered on local propane, heating oil, and home comfort providers with established delivery routes and longstanding customer relationships. Buyers can increase the value of these businesses by combining overlapping routes, expanding technician coverage, and adding adjacent services within existing territories. As a result, residential-focused distributors have frequently commanded premium valuations relative to broader fuel distribution assets. The appeal of these assets has also been evident in recent platform investments, including Platinum Equity’s acquisition of EDP in October 2026 (undisclosed) and Revelar Capital’s acquisition of Lettermen’s Energy in December 2025 (undisclosed). The transactions reflect buyer appetite for residential propane distribution platforms and reinforce the premium valuations often afforded to businesses with recurring customer relationships, stable demand characteristics, and significant opportunities for acquisition-driven growth. Several notable residential fuel distribution transactions are highlighted below.
- Platinum Equity Acquires Energy Distribution Partners (October 2026, Undisclosed) – In October 2026, Platinum Equity signed a definitive agreement to acquire EDP from Concentric Equity Partners, marking a notable sponsor-to-sponsor transaction in the Propane Distribution market. Terms were not disclosed. EDP represents a scaled consolidation platform, serving more than 200,000 residential, commercial, and agricultural customers through over 60 locations across 24 states, according to a press release.3 The company has expanded through both organic growth and acquisitions, establishing a broad network of locally managed operating companies while preserving localized customer relationships. Platinum Equity plans to build on this foundation through continued investment in sales, marketing, operating capabilities, and technology infrastructure, while pursuing additional acquisitions. “Propane continues to play a vital role in meeting the energy needs of residential, commercial and agricultural customers across the country, supported by long-term demand for safe, reliable and locally delivered energy solutions,” said Louis Samson, Co-President of Platinum Equity, in the press release.
- Lakes Gas Acquires Northwoods (July 2026, Undisclosed) – Lakes Gas, a family-owned and operated propane provider, acquired Northwoods in July 2026 for an undisclosed sum. The tuck-in extends delivery capabilities and route density across northern Wisconsin, reinforcing a community-focused service model while adding scale. Northwoods joins a steady acquisition cadence that has included Superior Gas Service (February 2026, undisclosed), Curtis Oil & Propane (November 2024, undisclosed), and Nutrien Ag Solutions’ Minnesota Propane Operations (August 2024, undisclosed). The deal reflects consolidation among regional propane retailers pursuing density, supply reliability, and operating leverage in a fragmented market shaped by family-business succession.
- Blossman Gas Acquires R.D. White & Sons (March 2026, Undisclosed) – Blossman Gas acquired R.D. White & Sons in March 2026 for an undisclosed sum. R.D. White & Sons is a fifth-generation propane and fuel distributor serving residential and commercial customers along the North Carolina coast. Blossman, the largest family-owned U.S. propane distributor and installer, operates 85 locations across 19 Southeastern and Mid-Atlantic states, according to a press release.4 The move deepens regional density and advances the company’s active roll-up initiative, which has included Southwest Propane, Sneads Ferry LP Gas and Tri-Co Propane’s Texas locations (July 2025, undisclosed). The acquisition highlights sustained consolidation across the fragmented Propane Distribution sector, where well-capitalized privately held suppliers acquire multi-generational operators navigating succession while preserving local customer relationships and service quality.
- Reliable Energy Partners Acquires Irvington Gas (February 2026, Undisclosed) – REP, a propane distribution platform backed by Soundcore Capital Partners, acquired Irvington Gas in February 2026. Terms were not disclosed. Irvington is a third-generation, family-owned bulk-propane distributor serving residential and commercial customers across nine counties surrounding the Louisville, Kentucky metropolitan area. REP’s fifth acquisition since the platform’s formation in November 2025 has extended the company’s footprint into a sixth state and advances a buy-and-build strategy targeting operators in high-potential metropolitan markets across the Northeast, Southeast, Mid-Atlantic, and Midwest. The transaction exemplifies intensifying PE-driven consolidation across the fragmented U.S. Propane Distribution space, where sponsors have pursued owner-operated businesses facing succession transitions to build scaled, multi-regional platforms.
Conversely, Commercial Bulk Fuel Distribution, or the “Jobber” segment, has generally been characterized by larger-scale transactions involving wholesale fuel distribution, transportation assets, terminals, convenience retail fuel operations, and commercial fueling networks. While these businesses benefit from scale advantages and extensive infrastructure footprints, financial performance is often more closely tied to commercial volumes, procurement dynamics, and fuel spreads. Recent transactions such as Sunoco’s May 2026 $10.1 billion acquisition of Parkland for 0.5x EV/Revenue and 8.4x EV/EBITDA have highlighted the valuation profile often observed among larger-scale commercial fuel distribution platforms. Additional wholesale fuel distribution transactions are highlighted below.
- ARKO Petroleum to Acquire U.S. Petroleum Partners (August 2026, $235 Million) – ARKO Petroleum (Nasdaq:APC) announced its acquisition of U.S. Petroleum Partners (USPP) for an enterprise value of $235 million in August 2026. USPP is a vertically integrated fuel supply and distribution platform serving the Great Lakes region, distributing ~280 million gallons of fuel annually to more than 400 wholesale locations, according to a press release.5 The company operates two Buckeye Pipeline-connected terminals in Novi, Michigan and Toledo, Ohio alongside a fleet that moves over 80% of USPP’s distributed fuel volumes. APC’s first deal since spinning out of ARKO (Nasdaq:ARKO) via initial public offering (IPO) earlier in February 2026 expands the company’s network to more than 2,500 wholesale sites, lifts annual volumes by ~14%, and adds ~$30 million of annual adjusted EBITDA while deepening vertical integration and stable, fee-based earnings, according to the press release. The deal underscores accelerating consolidation across U.S. wholesale fuel distribution, where scaled acquirers have pursued terminal and transportation assets to capture incremental margin and strengthen last-mile logistics economics.
- Sunoco to Acquire Offen Petroleum (August 2026, $600 Million) – In August 2026, Sunoco announced its acquisition of Offen Petroleum, a Court Square Capital Partners portfolio company, in an all-cash transaction valued at ~$600 million. Colorado-based Offen distributes ~2.5 billion gallons of fuel annually to ~7,000 customers and more than 800 retail stations across the Midwest, Mountain West, and Southwest, having scaled through eight-plus add-ons under Court Square ownership, according to a press release.6 Sunoco moves more than 15 billion gallons annually, and the immediately accretive deal broadens its geographic reach into fast-growing Western markets, creating a larger platform for further bolt-on M&A. The transaction continues Sunoco’s aggressive 2026 acquisition cadence while reinforcing broader sector consolidation as scaled distributors integrate pipeline, terminal, and last-mile assets to defend margins and cash flow durability.
Fuel distribution M&A activity has moderated in YTD 2026, but strategic buyers and sponsor-backed platforms have continued to pursue assets that strengthen geographic coverage, route density, infrastructure ownership, and service capabilities. Residential transactions have largely centered on locally established propane and home comfort providers, while commercial bulk fuel deals have targeted scaled wholesale networks, terminals, and transportation assets. Capstone anticipates that differing acquisition priorities will continue shaping buyer interest across the sector.
